If negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its Institutional Arbitration Rules effective at that time. The seat of arbitration shall be Hong Kong; the arbitration language shall be Chinese. The arbitral award shall be final.
